2. Client Responsibilities
Clients engaging our services agree to:
Provide accurate, complete, and timely information required for underwriting and analysis (see “Needs List”).
Cooperate in a timely manner regarding requests for additional documentation or clarifications.
Maintain the confidentiality of any login credentials or secure data portals provided by us.
3. Confidentiality & Data Security
We take the protection of sensitive client and borrower data seriously.
All client engagements are subject to a confidentiality agreement.
Documents are shared via secure, read-only, time-limited portals with two-factor authentication.
We conduct periodic audits to maintain data integrity.
We are not responsible for breaches resulting from client-side data exposure or unsecured transmission methods outside our systems.
4. Intellectual Property
All documents, templates, analysis formats, and written materials provided by Gemstone Credit Solutions remain the intellectual property of the Company unless otherwise agreed in writing. Clients may use these deliverables for internal or regulatory use only and may not resell or redistribute without written consent.
5. Fees & Payment Terms
All services are billed according to the agreed engagement terms.
Payment terms will be outlined in each engagement agreement or service proposal.
Late payments may result in delayed delivery or suspension of services.
Custom rush requests may be subject to additional fees.
6. Turnaround Time
We aim to deliver underwriting or portfolio services within a standard two-week turnaround period unless otherwise agreed. Complex files or delayed document submissions may impact delivery timelines.
7. Limitation of Liability
Gemstone Credit Solutions Inc. is not liable for:
Any financial decisions made based on the information we provide.
Inaccuracies in client-submitted data.
Delays or losses caused by third-party service providers or systems.
Our liability, if any, shall not exceed the amount paid by the client for the specific service rendered.
8. Termination of Services
Either party may terminate an engagement upon written notice. In the event of termination:
Work completed up to the date of termination will be invoiced and payable.
All confidential materials must be returned or securely destroyed.
9. Governing Law
These Terms are governed by the laws of the state in which Gemstone Credit Solutions Inc. is incorporated, without regard to conflict of law principles.
